These Terms of Service (“Terms”) govern the purchase and use of website design, development, hosting, maintenance, Website Care, and related services provided by 3&8 Digital, through 3and8.com.
By purchasing services from 3&8 Digital, submitting project information, approving a website, activating Website Care, or otherwise using our services, you agree to these Terms.
1. Services
3&8 Digital provides website design and development services primarily for small businesses and motor carriers.
Our standard Carrier Credibility Site includes the design and development of a professional business website based on information, materials, and instructions supplied by the customer.
Additional services may include optional website pages, Website Care, hosting, website maintenance, updates, technical support, domain management, and other services agreed to by 3&8 Digital and the customer.
Unless specifically stated otherwise, the purchase of a website is a one-time website design and development service and does not automatically include ongoing hosting, maintenance, updates, backups, security monitoring, technical support, or Website Care.
2. Current Website Pricing
The standard Carrier Credibility Site is currently priced at:
$299 one-time
Optional pages are currently available for:
Driver Recruiting Page — $99
Shipper & Dedicated Capacity Page — $99
A customer purchasing both optional pages will pay an additional $198.
Current package totals may therefore include:
$299 — Website only
$398 — Website plus one optional page
$497 — Website plus both optional pages
Prices may change for future customers. The price shown and accepted at the time of purchase will control that transaction.
3. Website Care
3&8 Digital offers optional Website Care.
Current Website Care pricing is:
$39 per month
or
$399 per year
Website Care is separate from the one-time website development fee.
Website Care may include, as applicable, hosting, SSL, standard domain renewal, backups, security and software maintenance, technical support, contact-form maintenance, and up to 30 minutes of routine website changes per month.
Unused monthly update time does not accumulate or roll over.
Requests exceeding the included maintenance allowance, major redesigns, new functionality, new pages, integrations, custom programming, or other substantial changes may require an additional fee.
4. Website Care Selection at Initial Checkout
Customers may indicate during their initial website purchase that they intend to activate Website Care after the website is completed.
Selecting:
$39/month Website Care,
$399/year Website Care,
or another Website Care option during the initial website checkout does not immediately begin recurring billing.
The Website Care selection made during checkout is an indication of the customer’s intended service choice and may be recorded as part of the customer’s order.
No Website Care subscription is created and no recurring Website Care charge begins until the customer separately authorizes and activates the Website Care subscription.
5. Website Care Activation and Billing
Website Care is normally activated after the website has been completed, approved by the customer, and is ready to be launched.
At that time, the customer will receive an opportunity to activate the appropriate Website Care subscription.
Recurring billing begins when the customer separately authorizes the subscription through the applicable payment system.
This structure is intended to prevent customers from paying for ongoing Website Care while their website is still being developed.
Once activated, Website Care will continue according to the selected monthly or annual billing cycle until canceled.
6. Customers Who Decline Website Care
Website Care is optional.
If a customer does not activate Website Care, 3&8 Digital will provide the customer with the completed website deliverables in a portable electronic format, which may include a ZIP archive containing the completed website files.
After delivery, the customer is responsible for arranging and managing their own website hosting and deployment.
This includes responsibility for matters such as hosting accounts, server configuration, uploading website files, domain configuration, DNS records, SSL certificates, email configuration, website security, backups, updates, maintenance, troubleshooting, and ongoing operation of the website.
Unless separately agreed in writing, 3&8 Digital is not required to deploy a website to a customer-selected third-party hosting provider when Website Care has not been activated.
Delivery of the completed website files constitutes fulfillment of 3&8 Digital’s website development and handoff obligations for customers who decline Website Care.
7. Later Purchase of Website Care
A customer who initially declines Website Care may request Website Care later.
3&8 Digital may contact customers after website completion to remind them that Website Care remains available.
Any later Website Care service will be subject to the pricing and service terms then in effect.
3&8 Digital may review the website before accepting it into Website Care, particularly if the website has been modified, transferred, hosted elsewhere, or altered by another person after delivery.
Additional work required to restore, repair, migrate, or prepare a website for 3&8 Digital management may be quoted separately.
8. Website Development Method
3&8 Digital determines the technical methods, development tools, coding methods, workflows, and systems used to produce customer websites unless otherwise agreed in writing.
Customer websites may be developed using portable website code, including HTML, CSS, JavaScript, images, files, and related assets.
3&8 Digital is not obligated to build a website using WordPress, Hostinger Website Builder, or any particular content-management system or third-party platform unless specifically agreed in writing.
Certain website functions may require compatible web hosting, server capabilities, email services, third-party integrations, APIs, or additional configuration after delivery.
9. Customer Information and Materials
The customer is responsible for providing accurate and complete information reasonably necessary to complete the project.
This may include company information, contact information, service areas, equipment information, photographs, logos, trademarks, business descriptions, regulatory information, website preferences, domain information, and other materials.
The customer represents that they own or have permission to use all materials submitted to 3&8 Digital.
The customer authorizes 3&8 Digital to use those materials as reasonably necessary to design, develop, test, host, maintain, or deliver the website.
3&8 Digital is not responsible for copyright, trademark, privacy, licensing, or other disputes resulting from materials supplied or approved by the customer.
10. Customer Responsibility for Accuracy
The customer is responsible for reviewing the website and verifying the accuracy of all information before final approval.
This includes, where applicable, company names, addresses, phone numbers, email addresses, USDOT numbers, MC numbers, services, equipment information, recruiting information, service areas, claims, qualifications, pricing, legal statements, and other business information.
3&8 Digital may assist with editing and presentation but does not independently certify the truth or legal accuracy of customer-provided information.
11. Project Timeline
Our normal target is to provide the initial website version within approximately 3–5 business days after we receive the information and materials reasonably necessary to begin the project.
This is a target rather than a guaranteed completion deadline.
The timeline may be affected by missing information, customer delays, requested changes, technical issues, domain problems, third-party services, unusually complex requirements, or circumstances outside our reasonable control.
12. Revisions
Unless otherwise stated, the standard website purchase includes one reasonable revision round following presentation of the initial website version.
A revision round allows the customer to request reasonable adjustments to the work already produced.
A revision is not intended to constitute a complete redesign, change of business concept, substantial change in project scope, creation of additional pages, or addition of major new functionality.
Additional revisions or work outside the original scope may require an additional fee.
13. Customer Approval
The customer will have an opportunity to review the website before final completion or launch.
Approval may be communicated by email, electronic message, form submission, payment, written authorization, or another reasonable method accepted by 3&8 Digital.
Once the customer approves the completed website, subsequent changes may be considered maintenance or additional development work.
14. Website Launch
For customers who activate Website Care, 3&8 Digital may handle the normal deployment and launch of the website as part of the managed service.
For customers who do not activate Website Care, the customer receives the completed website files and is responsible for deployment unless a separate deployment service is purchased or agreed to in writing.
3&8 Digital is not responsible for delays or failures caused by third-party hosting providers, registrars, DNS systems, customer accounts, customer configuration, server restrictions, or systems outside our control.
15. Domains
The customer owns any domain name purchased for or transferred to the customer, subject to the rules of the applicable domain registrar.
When Website Care includes domain management, the customer authorizes 3&8 Digital to manage the domain as reasonably necessary to operate the website.
Website Care may include standard renewal of one ordinary website domain where specifically included in the customer’s service.
Premium domains, aftermarket domains, redemption fees, transfer fees, special registry charges, unusually expensive domain extensions, and similar extraordinary costs are not included unless stated otherwise.
If Website Care ends, responsibility for future domain management and renewal transfers to the customer.
16. Hosting
Hosting provided by 3&8 Digital is generally associated with an active Website Care service unless otherwise agreed.
Customers who decline or cancel Website Care are responsible for obtaining their own hosting.
3&8 Digital does not guarantee uninterrupted website availability. Hosting providers, internet infrastructure, DNS systems, software systems, third-party services, and other technical systems may occasionally experience interruptions.
17. Website Care Cancellation
Monthly Website Care may be canceled according to the applicable billing arrangement.
Cancellation prevents future recurring charges after the applicable cancellation becomes effective but does not normally create a refund for services or billing periods already provided or paid.
Annual Website Care covers the applicable prepaid service period and is generally non-refundable after service has begun, except where required by law or expressly agreed otherwise.
Upon termination of Website Care, 3&8 Digital may provide the customer with the then-current portable website files when reasonably applicable.
The customer will thereafter be responsible for hosting, deployment, security, backups, updates, maintenance, and continued website operation.
18. Payment
Payment for the website build is due as presented during checkout unless another arrangement has been approved in writing.
Website development generally begins after payment and receipt of the information necessary to begin the project.
Payments may be processed through PayPal or another third-party payment processor.
Use of a third-party payment service may also be subject to that provider’s terms and policies.
19. Refund Policy
Because website development involves customized digital services and labor, payments for website design, development, optional pages, and other customized work are generally non-refundable once work has begun, except where required by applicable law.
Website Care payments are also generally non-refundable for service periods that have already begun or been provided.
3&8 Digital may, at its discretion, issue a refund, partial refund, credit, or other accommodation in unusual circumstances. Doing so in one situation does not create an obligation to do so in another.
20. Intellectual Property and Ownership
After full payment, the customer receives rights to use and control the finished website deliverables created specifically for that customer, subject to these Terms.
This may include the completed website code, customer-specific written content, customer-specific layout implementation, and customer-provided materials included in the finished website.
However, 3&8 Digital retains ownership of its pre-existing and reusable intellectual property.
This includes reusable frameworks, templates, layout systems, design systems, code libraries, components, development methods, workflows, internal processes, software tools, generic graphics, reusable functionality, know-how, and other materials or technology that were not created exclusively for one customer.
3&8 Digital may reuse such systems, concepts, structures, methods, components, and technology for other customers.
The customer does not acquire ownership of 3&8 Digital’s general business systems, reusable technology, development methods, or proprietary processes merely because those elements were used in producing the customer’s website.
21. Third-Party Materials and Services
Websites may use or interact with third-party services, hosting providers, domain registrars, fonts, libraries, APIs, analytics systems, maps, payment processors, email services, social-media services, or other external technology.
Those services may be governed by separate licenses, fees, policies, and terms.
3&8 Digital is not responsible for changes, outages, restrictions, pricing changes, security incidents, discontinuation, or other actions by third-party providers.
22. Customer Modifications and Third-Party Changes
After website delivery or launch, the customer may choose to modify the website or allow others to modify it.
3&8 Digital is not responsible for damage, errors, security problems, broken functionality, compatibility issues, lost data, downtime, or other problems caused by customer modifications or work performed by another developer, host, vendor, or third party.
Repairing such problems is outside the original website purchase and may require additional fees.
23. No Guarantee of Business Results
3&8 Digital provides website design and related services.
We do not guarantee that a website will produce freight, loads, customers, drivers, leads, contracts, sales, revenue, profits, search-engine rankings, traffic levels, financing, business relationships, or any other particular commercial result.
The success of a business depends on many factors outside the control of 3&8 Digital.
24. Search Engines
Unless expressly included in a separate service, website development does not constitute an ongoing search-engine-optimization service.
3&8 Digital does not guarantee placement or ranking in Google, Bing, or any other search engine.
Search engines independently determine how and whether websites are indexed and ranked.
25. Compliance and Legal Content
The customer is responsible for operating their business and website in compliance with applicable laws, regulations, licensing requirements, industry rules, privacy requirements, advertising rules, and other legal obligations.
3&8 Digital is not a law firm and does not provide legal advice.
Any sample policies, disclaimers, website language, accessibility features, privacy language, or other materials provided by 3&8 Digital should not be considered a substitute for advice from a qualified attorney or other professional.
26. Website Security
3&8 Digital takes reasonable measures when managing websites under Website Care, but no website, server, hosting environment, email system, or internet-connected system can be guaranteed to be completely secure.
3&8 Digital does not guarantee that a website will never experience malware, hacking, spam, data loss, service interruption, unauthorized access, or other security incidents.
Customers who self-host are fully responsible for implementing and maintaining their own website security measures after handoff.
27. Backups
Where backups are included in Website Care, 3&8 Digital or its hosting providers may maintain backups as part of normal website operations.
Backups are a risk-reduction measure and are not a guarantee against every form of data loss.
Customers who decline or discontinue Website Care are responsible for maintaining their own backups after website handoff.
28. Limitation of Liability
To the fullest extent permitted by law, 3&8 Digital will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the website, services, hosting, third-party systems, lost business opportunities, lost profits, lost data, downtime, security incidents, or other related matters.
To the fullest extent permitted by law, the total liability of 3&8 Digital arising from a particular service or transaction will not exceed the amount actually paid by the customer to 3&8 Digital for the specific service giving rise to the claim.
Some jurisdictions may not permit certain limitations, in which case applicable law will control.
29. Indemnification
The customer agrees to defend, indemnify, and hold harmless 3&8 Digital and its owners, representatives, contractors, and service providers from claims, liabilities, damages, expenses, or legal costs arising from customer-provided materials, customer business practices, customer representations, unlawful website content, intellectual-property violations, customer modifications, or the customer’s misuse of the website or services.
30. Suspension or Refusal of Service
3&8 Digital reserves the right to decline, suspend, or discontinue services when reasonably necessary, including for nonpayment, unlawful activity, abusive conduct, fraudulent activity, security concerns, material violation of these Terms, or requests that 3&8 Digital reasonably determines it cannot or should not perform.
Where practical, we will attempt to communicate with the customer before terminating an active service.
31. Communications
The customer authorizes 3&8 Digital to communicate regarding the project through email, telephone, forms, electronic messages, and other contact information supplied by the customer.
Transactional communications may include order confirmations, project questions, website review notices, launch information, Website Care activation information, service notices, invoices, and other communications reasonably related to the customer’s purchase.
32. Electronic Records and Approval
The customer agrees that electronic transactions, emails, form submissions, electronic approvals, PayPal transactions, and other electronic records may be used as evidence of orders, approvals, instructions, service selections, and agreements between the customer and 3&8 Digital.
33. Changes to These Terms
3&8 Digital may update these Terms from time to time.
Changes will apply prospectively unless otherwise required by law.
The Terms applicable to a particular purchase will generally be the version in effect when the applicable service was purchased or activated.
34. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
35. No Waiver
Failure by 3&8 Digital to enforce any provision of these Terms does not constitute a permanent waiver of that provision or any other right.
36. Entire Agreement
These Terms, together with the applicable order, checkout information, service description, Privacy Policy, and any written agreement between the customer and 3&8 Digital, constitute the agreement governing the services provided.
If a separately signed written agreement expressly conflicts with these Terms, the signed written agreement will control with respect to that conflict.
37. Governing Law and Venue
These Terms and any dispute arising from services provided by 3&8 Digital will be governed by the laws of the State of Texas, without regard to conflict-of-law principles.
To the extent permitted by law, exclusive venue for any legal proceeding arising from these Terms or the services of 3&8 Digital will be in a court of competent jurisdiction located in Walker County, Texas.
